Voting Member Absent: Carol Bucklin(verbal agreement of waiver). Nonvoting Members Present: Dennis Lien (Secretary), Don Blyly (Minicon). Nonvoting Member Absent: Chuck Holst (Vice president). Guests present: Fred Haskell, Al Kuhfeld, Dave Wixon, Jan Appelbaum. Meeting Opened at 10:35 (after SMoM meeting), Young presiding. Lessinger had contacted Bucklin by phone and Bucklin had agreed to sign waiver in writing of advance notice of meeting as required under By-Law III.7. Haskell requested that it be noted that he would be wanting from the 1975-76 Board a decision of frequency and amount of funding for RUNE; he mentions this now for the record. More immediately, he reports that he has paid $100 out of his own pocket for supplies for the last RUNE; a considerable quantity of these supplies were not used therein and remain. Since he has been receiving $50 per issue, he would like the Board to reimburse the $100 spent, for which he undertakes to put out the next issue (43) without further subsidy out of the excess supplies and his own pocket as necessary. Thus in effect the Board would be authorizing the usual $50 retroactively for 42 and in advance for 43, though in practice we would be reimbursing Haskell's expenses. General agreement that this would be all right _if_ we have the money; in the absence of a Treasurer's Report (due 29 March) we cannot be certain. If needed, private club members volunteered to loan the money. Blyly reported on his reading of the Minnesota Statutes on Nonprofit Corporations: (1) we must keep the Secretary of State notified of our current address: have we? (2) an ambigious [sic] reading suggests that we must renew our incorporation at periods-- this should be checked into further. Lien noted that our address as given in our incorporation papers was the Hobbitat, which will probably be vacated in the near future. When it is, we should transfer our official address to the post office box or elsewhere and so report it. Lien brought up three snags from the past, in reverse order: (1) an amendment passed by the Board on March 31, 1974, was never published in RUNE and hence is not official. This amendment clarified the wording in the Constitution as to whether the Minn-STF President must or must not be a Board member to the effect that he could be either. (2) RUNE 39 prints (as a footnote) a sentence not in the Secretary's records as the opening sentence of what is now By-Law XII, with the note that the Board believes this to have been part of the original motion and that they may wish to take some action legitimatizing said sentence. To date, no action has been taken. (3) the amendment of 26 Jan. 1975 has not yet been published in RUNE and may not make the three month deadline. Lien suggests that the Board may wish to repass the amendment of 26 Jan. (thus in effect extending publication deadline to 23 June 75) but that the first two points be left to the discretion of the new Board. On motion of Petal, 2d of Lessinger, and vote of 3-0 (Young not voting) the amendment of 26 Jan. 1975 was repassed with identical wording. On general agreement of Board, Young stated a resolution that it be "Resolved that the other two items be brought up before the next Board as soon as possible at its first meeting." Fletcher moved to adjourn, Young seconded, passed without dissent. Meeting adjourned at roughly 10:50.
